SEC Pans Generic Workforce Disclosures Amid Push for New Rules

The SEC is discouraging companies from giving only boilerplate information about their workforces in their public filings, as the agency works to beef up reporting rules, a senior official said Thursday.

Generic human capital disclosures are unhelpful to investors, said Renee Jones, director of the Securities and Exchange Commission’s Division of Corporation Finance, which reviews companies’ annual reports and other corporate filings. The agency is preparing to propose new rules as soon as this year, after Democrats said Trump-era reporting requirements were too lenient.

“Take a fresh look at your disclosure,” Jones said at a Practising Law Institute securities conference. ...
